Regulamento de Premiação das Olimpíadas Jovens Gênios Objetivo: O objetivo das Olimpíadas Jovens Gênios é incentivar o engajamento dos professores e o desenvolvimento dos alunos em disciplinas escolares através de uma avaliação por meio da trilha de aprendizagem da Jovens Gênios, oferecendo uma oportunidade de reconhecimento e premiação para os professores mais engajados e os alunos mais talentosos. Elegibilidade: Todos os alunos matriculados em escolas de ensino fundamental e professores que sejam usuários cadastrados na plataforma da JG, são elegíveis para participar das Olimpíadas Jovens Gênios e suas bonificações. A escola ou município precisa estar adimplente. Avaliação: A avaliação será realizada pelo sistema de inteligência artificial da Jovens Gênios (plataforma dos exploradores e professores) que analisará as respostas dos alunos nas disciplinas de História, Geografia, Português, Matemática, Ciências e Inglês. Os professores serão avaliados com base no engajamento na plataforma, incluindo a frequência de uso e interações com os alunos. Concurso cultural: Para garantir a equidade entre os participantes, todos os alunos que fizerem mais de 15 mil pontos nas Olimpíadas Jovens Gênios serão automaticamente inscritos no concurso cultural. Além dos 15 mil pontos, o aluno deverá enviar para o e-mail contato@jovensgenios.com uma narrativa inspirada nas nossas plataformas, e respondendo o motivo pelo qual merece vencer o concurso. O prêmio será uma Alexa (caixa de som) e será concedido a um único ganhador. Regras para elegibilidade: Para ser elegível ao concurso, o aluno deverá ter somado 15 mil pontos ou mais durante a competição. Não poderá haver duplicidade de ganhadores, ou seja, caso o aluno vencedor já tenha recebido outro prêmio, será realizado para escolher um novo ganhador. O prêmio será entregue ao representante legal da escola, que destinará o prêmio ao aluno vencedor. A participação no concurso implica na aceitação integral deste regulamento. Divulgação dos vencedores: Os vencedores serão divulgados no site e redes sociais da Jovens Gênios. Os participantes também serão informados sobre o resultado através do e-mail cadastrado no ato da inscrição.Premiação: Serão divididos entre alunos do ensino fundamental 1, 2 e professores no geral, faremos a seguinte distribuição: 1. Prazos: As inscrições para a Olimpíada Jovens Gênios estarão abertas de 17/04/2023 a 31/05/2023. A avaliação será realizada de modo individual, considerando 3 dias corridos para a realização das questões. A divulgação dos resultados da premiação nacional acontecerá no dia 06/07/2023. Considerações Finais: Os organizadores das Olimpíadas Jovens Gênios se comprometem a zelar pela integridade e transparência do processo avaliativo, garantindo a credibilidade do evento. Todos os participantes terão acesso às suas notas e pontuações. Aceitação do Regulamento: Ao se inscrever nas Olimpíadas Jovens Gênios, o participante declara ter lido e aceitado o regulamento em sua forma geral, bem como as condições para participação e premiação. - Regulamento Geral da Premiação Nacional | Jovens Genios
Educators’ Journey Regulation 1. ABOUT THE EDUCATOR’S JOURNEY The Educators' Journey is an educational virtual competition among teachers registered on the Jovens Gênios platform ('Journey'). During the Journey, teachers will complete activities and assessments available at educadores.jovensgenios.com for their students, and earn points based on their students' participation and engagement." 2. GOAL The goal of the Journey is to dynamically promote the effective use of the Jovens Gênios educational tool by the teachers who make up the faculty of our partner schools, in order to empower educators and enhance the holistic development of students. 3. DEFINITIONS AND PROFILE REQUIREMENTS Who may register for the Journey: a) Teachers: Elementary and Middle School teachers who are currently actively engaged in their duties and registered as such in schools that have an active contract with the Jovens Gênios platform, from January 1st to December 31st, 2023, provided they do not hold positions such as Coordinator, Principal, or Pedagogical Coordinator, as per their own registration in the platform. b) Ambassadors: Ambassadors are considered to be teachers of Elementary and Middle School who meet the requirements mentioned above and who are exclusively appointed as such by Jovens Gênios. Qualification as an Ambassador is based on the platform usage history in conjunction with the school. The profile registered as a Manager on the platform will be ineligible to participate, except in the case of public schools. It is an exclusive competition for teacher registrations. Platform: educadores.jovensgenios.com. For the purposes of this Regulation, the students are the ones enrolled in elementary and middle schools that have a valid contract with Jovens Gênios. To be considered active in the Educators' Journey, the student must answer at least one question within the context of the proposed activity or assessment. 4. REGISTRATION Registration must be done personally and is non-transferable, exclusively through the website educadores.jovensgenios.com, using one's own access. Before completing the registration, the applicant must carefully read this Regulation and accept all the conditions, declaring to be in accordance with the participation requirements and ensuring that all information… Jovens Gênios is not responsible for the non-receipt of the registration submitted by the interested party, as well as for any inability to participate due to failures or sending errors caused by problems with the internet service provider used by the participant. 5. ACTIVITIES Raio-X: A diagnostic evaluation that aims to identify students' needs, generating evidence for guidance on pedagogical (re) planning. Desafio: Formative assessment that helps teachers and students identify progress and difficulties, finding strategies for adjustment and course correction, ensuring the continuity of learning. Prova Genial: Summative assessment that measures students' mastery of the learning objectives and can promote pedagogical interventions to: verify, classify, locate, and inform. Tarefa: Functionality in which the teacher can automatically create gamified tasks that will be personalized according to each student's needs. Campeonato: A functionality that encourages collaborative studying with classmates. In this mode, students can engage in battles with each other, and it also generates a ranking for teachers. Aula Invertida: Functionality that aids in the development of students' autonomy, as they will study the content before, during, and after the in-class mediation time. 5.1 GENERAL TERMS a) Discrimination based on color, marital status, religion, nationality, political creed, gender, sexual orientation, age, or any other factor is not allowed; b) The Educators' Journey will adhere to the requirements defined in each category for the receipt of the award, and these requirements cannot be changed after the candidate's registration; c) There is no limit on the number of candidates from the same school for participation in the Journey; d) Only those who have registered and created activities and/or assessments for their respective classes, which are then completed by students according to the engagement table's percentage, will be classified; e) For any necessary purposes, the definition of an 'Active Student' will be a student who has answered at least one question within the context of the activity or assessment. Student participation is personal and non-transferable. The Jovens Gênios team reserves the right to disqualify, after careful evaluation, any works that use illicit methods or are in violation of the guidelines established in this Regulation. 5.2 SPECIFIC TERMS FOR AMBASSADORS a) The invited Ambassadors will be registered via a form to be sent after the selection process in collaboration with the school; b) Each school will have only and exclusively two Ambassadors, one from the faculty of Elementary School and the other from Middle School; c) After the selection of the Ambassadors, the remaining registered individuals from the same school will be considered as members of the Teacher category; d) The school can decide and communicate, via email to meajuda@jovensgenios.com, their decision of not having Ambassadors in their institution; e) The Ambassadors will be responsible for instructing and assisting other teachers in creating activities and assessments for the competition; f) In order to prioritize transparency in engagement monitoring, the Ambassadors will have their profiles registered as Managers if the school decides to do so; g) The Ambassadors' scores will be calculated proportionally to the level of active teachers at the school, multiplying the base score for each level by the percentage of teachers at that level, and it will take into account the school's adoption of activities such as the Raio-X and/or Projetos Interdisciplinares. Next, we will explain the details of this scoring. Base score per level of active Teachers: Bronze: 1 point for every 1% of active teachers at the level. Silver: 2 points for every 1% of active teachers at the level. Gold: 5 points for every 1% of active teachers at the level. Legendary: 25 points for every 1% of active teachers at the level. h) For schools that adopt the institutional Raio-X or Projetos Interdisciplinares, Ambassadors will receive scores based on the school's adoption in each of these contexts, taking into account the total number of students in the institution, as defined in the following terms. For Raio-X, the scoring will be as follows: 40% to 49.99% active students = 1 point. 50% to 59.99% active students = 2 points. 60% to 79.99% active students = 3 points. 80% to 89.99% active students = 5 points. 90% to 100% active students = 10 points For Projetos Interdisciplinares, the scoring will be as follows: 10% to 19.99% active students = 1 point. 20% to 29.99% active students = 2 points. 30% to 49.99% active students = 3 points. 50% to 69.99% active students = 5 points. 70% to 100% active students = 10 points. i) Each school may create and conduct up to 2 (two) Raios-X and 2 (two) Projetos Interdisciplinares within the duration of the Journey outlined in this Regulation. 5.3 SPECIFIC TERMS FOR TEACHERS 5.3.1. Within the competition period, Teachers will need to create Desafios, Campeonatos, Provas Geniais and Tarefas on the Jovens Gênios platform for their students, with the scoring for Teachers per activity or assessment defined as follows: Desafio = 10 points. Campeonato = 10 points. Prova Genial = 10 points. Tarefa = 5 points. 5.3.2. Points will not be counted for other types of activities created on the Platform, including Raio-X and Aula Invertida. However, there will be a limit on eligible activities and assessments to be scored. Teachers enrolled in the competition will have a limit of 30 activities and/or assessments per each two-month period that can be scored. Furthermore, the following should be observed: a) Any activity or assessment created that exceeds the limit or does not meet the mandatory criteria will be disregarded and will not receive any points; b) In case there is an excess of activities or assessments, the first 30 activity or assessment creations per Teacher per two-month period will be considered; c) Each two-month period will be defined according to the following parameters within the overall duration of the Gamification Journey. First two-month period: Starting on August 25, 2023, and ending on October 24, 2023; Second two-month period: Starting on October 25, 2023, and ending on December 24, 2023; d) The final score for creating activities and/or assessments will be a cumulative total across both two-month periods; e) In addition to the cumulative score for the creation of activities and/or assessments, a participation bonus will be accumulated by students following the reference scores below when the minimum bonus score is reached; f) The gamification ranking of teachers will be available on the JG website, updated weekly, every Monday, until 6:00 PM; g) Within the duration of the eligible activity and assessment creations mentioned above (Desafio, Campeonato, Tarefa, Prova Genial), the bonus score will be as follows: For Desafio, Campeonato and Tarefa, the bonus score will be as follows: 15% to 24.99% active students = 5 points. 25% to 39.99% active students = 10 points. 40% to 59.99% active students = 15 points. 60% to 74.99% active students = 20 points. 80% to 100% active students = 30 points. For Prova Genial, the bonus score will be as follows: 40% to 49.99% active students = 5 points. 50% to 59.99% active students = 10 points. 60% to 79.99% active students = 15 points. 80% to 89.99% active students = 20 points. 90% to 100% active students = 30 points. h) Activities or assessments that do not reach the minimum score of 5 points will be invalidated and converted to zero points; i) Teachers who participate in the ongoing training provided by Jovens Gênios will also receive 25 points for each assessment submitted. 6. RANKING 6.1. In the end, participants will be ranked and categorized into levels based on their score, as follows: Without level: 0 to 199 points. Bronze: 200 to 499 points. Silver: 500 to 799 points. Gold: 800 to 1199 points. Legendary: 1200 or more points. 6.2. In case Teachers and/or Ambassadors have the same score, they will be ranked based on secondary and subsequent criteria, meticulously assessed by Jovens Gênios, according to the following order of preference: 1- Average number of questions answered per activity or assessment; 2- Average study time per activity or assessment; 3- Total number of active students; 4- Total number of diverse skills worked on; 5- Performance per activity or assessment. 6.3. The Teacher and/or Ambassador with the highest average in the first criterion listed above will secure the top position in the global ranking. Jovens Gênios will rigorously apply these criteria to ensure a fair and accurate ranking in tie situations, ensuring that recognition is awarded equitably among the participants in the Journey. 6.4. It is worth noting that the ranking will be published on the Jovens Gênios website in January 2024, in compliance with the General Data Protection Law. 7. AWARDS 7.1. Once the ranking is established, Jovens Gênios will organize the awards into two different categories: a) The awards for Ambassadors will be: 1st place overall - a cruise trip; 2nd place overall - a tablet; 3rd place overall - a tablet; 4th place overall - a Bluetooth earbuds; 5th place overall - a Bluetooth speaker; Ambassador from the school with the highest average number of questions answered per active student - a smartwatch; Ambassador from the school with the highest average study time per active student - a smartwatch. b) The awards for Teachers will be: 1st place overall - a laptop; 2nd place overall - an Amazon Echo Dot; 3rd place overall - a smartwatch; 4th place overall - a Bluetooth earbuds; 5th place overall - a Bluetooth speaker; Teacher with the highest average number of questions answered per active student in their creations - a Bluetooth earbuds; Teacher with the highest average study time per active student in their creations - a Bluetooth earbuds. 7.2. In addition, the following procedure shall be observed: a) Jovens Gênios will not be responsible for incorrect information provided by the awarded participants, such as: full name, address, and email; b) All awardees will be notified by the Jovens Gênios relationship team via the email registered on the platform. If there is no response within 7 (seven) consecutive days from the date of the email being sent, from the contact by the consultant with the school, school management, or the registered phone, the participant will be automatically disqualified; c) Jovens Gênios will be responsible for the in-person delivery of all prizes, the date of which will be communicated later; d) All prizes will be delivered to the winners free of charge and cannot be exchanged for other products or services, nor can they be converted into cash; e) If there is any damage involving the prize related to the technological device during transportation, Jovens Gênios will arrange for a technical team to conduct a thorough analysis of the damaged device; f) If the recovery of the device is not feasible, at the sole discretion of Jovens Gênios, a replacement with a new device may be provided. 7.3. Jovens Gênios reserves the right, at its sole discretion, to distribute giveaways such as t-shirts, mugs, among others. The method of distribution and the quantity of giveaways may vary depending on the schools and the achievements of the Teachers and Ambassadors. 8. DISQUALIFICATION OR PRIZE FORFEITURE Schools with any unresolved arrears or that fail to fulfill their contractual obligations from the start of the Registration period until the final announcement of the classification, during the competition, may be subject to the automatic disqualification of their participating Teachers and Ambassadors in the Journey. Jovens Gênios also reserves the right to investigate suspicious situations of fraud, considering factors such as the devices used and patterns of usage, in order to prevent artificial increases in the completion of activities and assessments statistically. If any indication of fraudulent activity is identified, the Teachers and Ambassadors involved will be immediately disqualified and removed from the Journey, without prejudice to a subsequent investigation by oversight bodies and the pursuit of legal measures as appropriate. 9. SCHEDULE 9.1. The proposed schedule includes the following stages: Announcement and Alignment with Schools: 08/24/2023 to 09/24/2023. Teacher Registration Stage: 08/25/2023 to 09/25/2023. Ambassador Registration Stage: 08/25/2023 to 09/25/2023. Journey Duration: 08/25/2023 to 12/24/2023. Ranking: 12/25/2023 to 12/31/2023. Results Audit: 01/01/2024 to 01/31/2024. Results Announcement: 02/01/2024 to 02/29/2024. Awards Event (Probable Period): 03/01/2024 to 03/31/2024. 9.2. The schedule may be subject to changes at any time. Always refer to the Jovens Gênios website for updates. 10. FINAL TERMS 10.1. Participants will be solely responsible for any copyright-related issues arising from the use of expressions, texts, text fragments, and other unauthorized reproductions and/or uses of works, even if partial, and shall be civilly and criminally liable for any violations they may commit in the field of intellectual property, as well as for any misuse of the image (in a broad sense) of individuals. 10.2. The authenticity of the activities and assessments submitted by participants will be evaluated by Jovens Gênios, and creations that violate any of the conditions established in this Regulation will be disqualified. 10.3. In addition, the use of the "Jovens Gênios" brand for political, electoral, illegal, immoral, or commercial purposes is prohibited. 10.4. Participation in the Journey is free, does not imply the payment of any kind of scholarship or monetary assistance, and does not establish an employment relationship with Jovens Gênios. 10.5. In case Jovens Gênios determines any non-compliance with this Regulation, the participant will be automatically disqualified from the Journey, without the need for any notification, and if they are a winner, the prize will be transferred to the next eligible participant in accordance with the valid and specified conditions of this Regulation. 10.6. Finally, at any time, this Regulation may be amended, revoked, or annulled, in whole or in part, without entailing any right to compensation or claim of any kind.

Anti-Corruption Policy Anti-Corruption Policy The JOVENS GÊNIOS Compliance Program reflects the culture of integrity and compliance with the current national legislation to which JOVENS GÊNIOS is subject. The provisions contained in this Anti-Corruption Policy ("Policy") aim to maintain the highest standards of business ethics, reinforcing our zero-tolerance policy towards corruption. JOVENS GÊNIOS does not tolerate any form of corruption in the broadest sense of the term. Corruption, for JOVENS GÊNIOS, is not limited to actions in dealings with Public Officials, nor is it limited to the giving, promising, or offering of Improper Advantage. Corruption should be understood broadly, encompassing various offenses that harm Public Administration, such as administrative misconduct, bid fraud, conspiracy with competitors to thwart competition in bids, hindering the activities of investigation or supervision of Public Officials or Government Authorities, money laundering, among others. Consult the Compliance Committee or the Legal Department of JOVENS GÊNIOS if you participate in procedures that involve interactions with Public Officials and have questions about how to act in these situations. This material is essential in the process of strengthening the culture of JOVENS GÊNIOS and guides the path we must follow to preserve ethical professional conduct. JOVENS GÊNIOS expects its Employees and Mediators, as defined below, to faithfully comply with this Anti-Corruption Policy and applicable laws, as well as maintain the highest ethical standards of business conduct. This Policy, therefore, complements the general provisions set forth in Law No. 12,846/2013 ("Brazilian Anti-Corruption Law") and its regulations, as well as other legal provisions applicable to JOVENS GÊNIOS, collectively referred to as "Anti-Corruption Legislation". The Policy applies randomly to all JOVENS GÊNIOS Employees and to all transactions in which we participate, also expressing the principles that we expect individuals and entities acting on our behalf, especially Mediators, to follow. 3.1 JOVENS GÊNIOS: JOVENS GÊNIOS PROVEDOR DE CONTEÚDO LTDA., CNPJ No. 29,286,289/0001-39. 3.2 Compliance Committee: The JOVENS GÊNIOS Compliance Committee, made of a minimum of 3 (three) members, who can be elected and dismissed by the JOVENS GÊNIOS Council, with the election or dismissal communicated to the partners by email. In case of disagreement with the election or dismissal of the Compliance Committee members, the partners will decide by an absolute majority in an Extraordinary General Meeting regarding the Compliance Committee. 3.3 Employees: All employees, interns, service providers, partners, and executives of JOVENS GÊNIOS. 3.4 Public Official: Anyone, even temporarily or without compensation, who holds a public office, position, or function in Brazil or abroad, in government agencies, state entities, or diplomatic representations, as well as in legal entities controlled directly or indirectly by the government or in international public organizations. Examples of Public Officials for the purposes of this Policy include (i) federal, state, and municipal government employees of the Executive, Legislative, and Judicial branches, (ii) employees of autonomous agencies (including regulatory and executive agencies) and public companies, (iii) diplomats, including ambassadors, consuls, and chancellors; (iv) members of the Military Police and Fire Departments, among others. Also considered Public Officials for the purposes of this Policy are (i) political parties, their members, employees, agents, or other individuals acting for or on behalf of a political party; (ii) candidates for political or elective office; and (iii) any private individual acting in an official capacity for or on behalf of any of the individuals or entities listed above. 3.5 Mediators: Any representative or contractor of JOVENS GÊNIOS who has contact or may have interaction with public authorities and/or Public Officials on behalf of or in the interest or benefit of JOVENS GÊNIOS, or who represents or may represent JOVENS GÊNIOS before public authorities and/or Public Officials, such as: Service providers; Law firms; Tax consultants; Marketing and event production agencies; Proposers of incentive events. 3.6 Improper Advantage: Any tangible or intangible asset, including but not limited to money, gifts, courtesies, and values, offered, promised, or delivered with the aim of unduly influencing or rewarding any act, decision, or omission of a person, whether they are a Public Official or not. This concept includes gifts, entertainment, airfares, accommodations, donations, sponsorships, or any other valuable item used for such purposes, namely unduly influencing or rewarding any act, omission, or decision. The offer of tangible or intangible assets described above, which complies with items 4 and 5 and their subsections in this Policy, does not constitute an Improper Advantage, thus preserving compliance with Anti-Corruption Legislation. JOVENS GÊNIOS has a zero-tolerance policy for acts of corruption. Promising, offering, or giving an Improper Advantage to a Public Official or related third parties, clients, or suppliers, as well as frustrating, defrauding, or manipulating public bidding procedures and/or public contracts is strictly prohibited and subject to personal liability under Anti-Corruption Legislation, in addition to sanctions applicable by JOVENS GÊNIOS. Remember: everything that this Policy prohibits us from doing directly, we also cannot do indirectly through third parties. No Employee or Mediator will face adverse consequences for refusing to (i) offer, promise, pay, give, or authorize an undue or illegal payment, advantage, reward, or benefit, or (ii) frustrate, defraud, or manipulate public bidding procedures and/or public contracts, even if it results in the loss of business opportunities for JOVENS GÊNIOS. 4.1 Improper Advantage Employees and Mediators of JOVENS GÊNIOS are strictly prohibited from, directly or indirectly, promising, offering, or giving an Improper Advantage, regardless of the value, to a Public Official or to related third parties (it is also prohibited to give, offer, or promise an Improper Advantage to a third party if we have reason to believe that it is receiving the Improper Advantage on behalf of the Public Official). Important: this prohibition also applies to small payments occasionally requested by a Public Official with the aim of expediting or ensuring the execution of a non-discretionary procedure ("facilitation payments"). To ensure compliance with this rule, any tangible or intangible asset to be promised, offered, paid, given, or donated to a government body or Public Official must be approved by the Compliance Committee, as described in item 5 of this Policy. Likewise, Employees and Mediators of JOVENS GÊNIOS are strictly prohibited from, directly or indirectly, soliciting, requesting, agreeing to receive bribes, kickbacks, influence payments, improper or illegal benefits, or any form of favor or special treatment. 4.2 Public Bidding and Public Contracts Regarding public bidding and public contracts, Employees and Mediators of JOVENS GÊNIOS are strictly prohibited from (i) frustrating or defrauding the competitive nature of a public bidding procedure; (ii) preventing, disrupting, or defrauding any act of a public bidding procedure; (iii) excluding or attempting to exclude a bidder through fraud or the offer of any type of advantage; (iv) defrauding a public bidding or the resulting contract; (v) fraudulently creating a legal entity to participate in a public bidding or enter into an administrative contract; (vi) fraudulently obtaining undue advantage or benefit from modifications or extensions of contracts concluded with the public administration without legal authorization, in the public bidding call, or in the respective contractual instruments; or (vii) manipulating or defrauding the economic-financial balance of contracts entered into with the public administration. To ensure compliance with this rule, any contract involving a public entity, even indirectly, must be submitted for prior evaluation by the Compliance Committee and the Legal Department, as described in item 9 of this Policy. Employees and Mediators are prohibited from promising, offering, or giving any gifts, giveaways, entertainment, meals, travel expenses, or other forms of hospitality collectively referred to as "Donations" to a government body or Public Official without approval from the Compliance Committee. Donations to government bodies or Public Officials are only permitted if they (i) serve legitimate and appropriate purposes related to the Company's core activities, (ii) are not linked to any retribution or intended consideration associated with the Donation, (iii) are limited and reasonable in value, type, and quantity, (iv) comply with the internal rules of the recipient organization, (v) are openly presented to the recipient (not secretly), (vi) do not embarrass JOVENS GÊNIOS if publicly disclosed, and (vii) do not violate or contravene Anti-Corruption Legislation, applicable law, or the rules and procedures established in this Policy. The rules of this Policy regarding Donations to government bodies and Public Officials apply to Mediators when they are acting on behalf or in the interest of JOVENS GÊNIOS. Donations to Public Officials suggested or requested by Mediators without formal requests from the government body or Public Official are prohibited. For all expenses incurred with Donations to Public Officials, the respective supporting documents must be issued. These expenses should be accurately identified, and their supporting documentation (receipts, invoices, etc.) should be properly archived and recorded in the Company's books and accounting records, as described in item 10 of this Policy, and should also be appropriately registered in the Compliance Channel. These rules apply to all situations described in items 5.1 to 5.4 below. 5.1 Gifts Employees and Mediators are prohibited from promising, offering, or giving any gifts to a government body or Public Official without prior approval from the Compliance Committee. Gifts to Public Officials will only be allowed if (i) they have the nature of a non-commercial gift or are gifts distributed widely as a courtesy, advertisement, or promotion or on special occasions or holidays, as long as they do not exceed the value determined by the Compliance Committee; and (ii) their delivery is not prohibited by Anti-Corruption Legislation. Gifts, including product donations, to government bodies or entities, whose maximum reference value will be determined by the Compliance Committee for a period of one year., are allowed. Gifts in cash or cash equivalents (such as gift cards or certificates) are prohibited. Gifts with values below the reference values do not exempt the requester from prior reporting through the Compliance Channel. Any exceptions to the rules in this section 5.1 must be approved in advance by the Compliance Committee. 5.2 Entertainment Due to the market segment in which it operates, events are legitimate means for JOVENS GÊNIOS to promote and publicize its business, either through hosting its own events or sponsoring third-party events. In this context, JOVENS GÊNIOS may provide entertainment, such as tickets for events held or sponsored by JOVENS GÊNIOS, to promote and publicize its practices and business to third parties. Notwithstanding the above, Employees and Mediators are prohibited from promising, offering, or giving any form of entertainment to a government body or Public Official without prior approval from the Compliance Committee. Entertainment can only be provided or given to a Public Official as described above when the Public Official is attending the event in an institutional capacity, and it is advisable that at least one JOVENS GÊNIOS Employee be present at any entertainment provided by JOVENS GÊNIOS. Providing entertainment to accompanying individuals or guests of a Public Official by JOVENS GÊNIOS is not allowed, and the provision of entertainment will not be approved if there is a potential negative exposure for JOVENS GÊNIOS. Any exceptions to the rules in this section 5.2 must be approved in advance by the Compliance Committee. 5.3 Meals In the context of our business activities, meals may occur with third parties related to our activities. Meals can only be offered or paid to Public Officials when the subject to be discussed is related to the institutional functions of said Public Official and at least one JOVENS GÊNIOS employee is present. The maximum meal value to be offered to a Public Official will be determined by the Compliance Committee, and it cannot involve luxury items (such as expensive drinks and food). Payment for meals by JOVENS GÊNIOS for companions or guests of Public Officials is not allowed. Meals offered to Public Officials that adhere to the limit described in the previous paragraph must be reported to the Compliance Committee within a maximum of 1 (one) business day from the date of the meal, following the procedure described by the Compliance Committee. Meals that exceed the value described in the previous paragraph must be pre-authorized by the Compliance Committee, even if the actual meal expenses are updated later. Any exceptions to the rules in this section 5.3 must be approved by the Compliance Committee. 5.4 Travel Expenses Employees and Mediators are prohibited from promising, offering, or paying for any travel expenses for or on behalf of a Public Official, including transportation, meals, and accommodation, without prior approval from the Compliance Committee. Payments for travel expenses for Public Officials will be approved if the event that necessitated the travel, such as seminars, conferences, visits, and technical meetings, is directly related to the promotion of JOVENS GÊNIOS products and initiatives or the execution of a contract, and provided that the event is relevant to the duties of the Public Official's position or role. Invitations for participation in the events discussed here should be sent to the highest authority of the entity or agency, or to another designated instance or authority, who will indicate, in case of acceptance, the appropriate representative, considering the nature and topics to be addressed at the event. Travel expenses will be paid only if: the trip has a legitimate business purpose; the cost is reasonable and according to JOVENS GÊNIOS policies; no guests or family members of the Public Official are traveling at JOVENS GÊNIOS's expense; and there are no planned stops unrelated to the business purpose of the trip, unless the additional expenses resulting from this stop are borne by the Public Official, not JOVENS GÊNIOS. Expenses beyond what is reasonably necessary for the business purpose, including extravagant accommodations or expenses related to companions, or those not in accordance with JOVENS GÊNIOS's internal policies, will not be approved. Payment of per diem expenses (defined as fixed payments to an individual intended to cover expenses on a given day, regardless of the nature and extent of expenses actually incurred on that day) is prohibited, unless required by applicable law or previously agreed in writing with the Public Official's organization. Payment of compensation to the Public Official for participation in the event is prohibited. To avoid deviation risks, expenses should, whenever possible, be paid directly by JOVENS GÊNIOS. For example, airfare should be paid directly to the travel agency or airline. Any exceptions to the rules in this section 5.4 must be approved by the Compliance Committee. Donations to non-profit institutions or associations must be pre-approved by the Compliance Committee, and the receiving institution must expressly agree to comply with item 4 of this Anti-Corruption Policy. If the donation request is made by a Public Official, the following rules must also be observed: donations should not be made as part of an exchange of favors with a Public Official; they should not be made in cash; they should not be paid to a private or individual account or to a for-profit organization; they should not constitute a political contribution; and they should be transparent regarding the identity of the recipient, the amount, and the intended purpose. If the Public Official promises any benefit or makes any threat regarding the donation request, the request should be denied. The employee responsible for the donation should monitor the donations. This monitoring may involve requests for audited financial statements or confirmation from the recipient that the funds donated by JOVENS GÊNIOS were used appropriately. All expenses should have their supporting documentation (receipts, invoices, etc.) properly filed and recorded in JOVENS GÊNIOS's financial statements. Donations and political contributions on behalf of JOVENS GÊNIOS are prohibited. Employees and Mediators must avoid any conduct that may be perceived as a political donation or contribution on behalf of JOVENS GÊNIOS. Employees who choose to personally make donations or contributions to political parties and election campaigns must bear all related costs and expenses. No refund related to these costs and expenses can be requested or provided by JOVENS GÊNIOS. 8.1 Hiring Mediators JOVENS GÊNIOS regularly hires Mediators, as defined in section 3 above. Therefore, as they may interact with Public Officials on behalf of JOVENS GÊNIOS or during the provision of services to JOVENS GÊNIOS, it is expressly prohibited to hire or retain Mediators, even on an occasional basis, without prior and periodic evaluation by the Compliance Committee. The following requirements must be observed: All payments made to Mediators must be supported by a formal contract or a credible document that demonstrates the purpose of the payment and must be regularly accounted for in a way that accurately reflects their nature and purpose; Contracts must be clear and precise regarding compensation, contract scope, the goods or services to be provided by the Mediator, and must include a specific clause obliging the contracting party to comply with applicable Anti-Corruption Legislation, with the understanding that in case of non-compliance, JOVENS GÊNIOS will terminate the contract; No payment can be made or promised to a Mediator except in exchange for legitimate goods or services; Any payment must be in an amount no greater than the fair market value of the legitimate goods or services received; Mediators must comply with applicable Anti-Corruption Legislation, with all JOVENS GÊNIOS policies and standards applicable to Mediators, and maintain the highest ethical standards of business conduct. Notwithstanding prior validation by the Compliance Committee, Employees must remain vigilant for any "suspicions" that may arise. It is the responsibility of the Employee to immediately report to the Compliance Committee any irregularity or suspected irregularity by the Mediator regarding this Policy or applicable Anti-Corruption Legislation. 8.2 Hiring Former Public Officials JOVENS GÊNIOS may only hire or elect former Public Officials as Employees or Mediators, directly or indirectly, after a period of 180 (one hundred and eighty) days from the date of their discharge, or after a different period established by law, whichever is longer. Any and all contracts involving a public entity, even indirectly, must be submitted for prior evaluation by the Compliance Committee and the Legal Department, through the Compliance Channel. The requesting Employee must submit, in advance, all available information regarding the object of the contract and the bidding process to be adopted, as well as any justifications for the waiver or non-competitiveness of the bidding. It is strictly prohibited to discuss prices, offers, conditions, or proposals with other interested parties, possible interested parties, or participants in any bids in which JOVENS GÊNIOS is participating or intends to participate, whether or not they are related to the education sector ("JOVENS GÊNIOS Business"), as well as to take any action that may affect the participation of third parties or undermine the competitive nature of the bidding process, such as assisting or directing the preparation and specifications of bid documents or excluding bidders through fraud or offering any type of advantage. Employees must always act to ensure that JOVENS GÊNIOS's financial statements, books, and records accurately, clearly, completely, and adequately reflect all of JOVENS GÊNIOS's business and operations. All transactions must be recorded and managed in accordance with JOVENS GÊNIOS's accounting policy and other Financial Department policies, including those related to the budget, as follows: having a direct business purpose related to the transaction; clearly and accurately reflecting JOVENS GÊNIOS's operations; being recorded in a manner that allows for the preparation of financial statements in accordance with applicable accounting standards; complying with applicable tax laws; and maintaining accountability for assets. All supporting documentation must be retained in accordance with applicable record retention requirements. No fund or asset not recorded in JOVENS GÊNIOS's financial statements may be established or maintained for any purpose. No Employee should engage in the falsification of any accounting record or other business record, and all employees and administrators must fully and correctly respond to any inquiries made by JOVENS GÊNIOS's internal or external auditors, or auditors of any regulatory authority. It is the obligation of every JOVENS GÊNIOS Employee to know and understand the content of this Policy and to comply with all rules provided herein. No Employee has the authority to request or take action that violates this Policy. This Policy is not subject to waiver or exceptions due to commercial or competitive demands or other requirements. Non-compliance with this Policy may result in civil and criminal penalties for JOVENS GÊNIOS and the involved Employees, and may result in disciplinary sanctions for such individuals, including but not limited to termination for cause and reimbursement for damages caused. Additional strictly prohibited conduct includes: any form of corruption, extortion, or fraud; offering or accepting bribes, kickbacks, or other illicit incentives; forgery of documents, expense reports, financial records, trademarks, or products; embezzlement, smuggling, counterfeiting, corporate espionage, or other unfair and anticompetitive practices. The above list is merely illustrative and not exhaustive. All illegal or immoral conduct is prohibited. Such reports are encouraged by JOVENS GÊNIOS and can be made anonymously if the reporter prefers so.
